This agreement is made and entered into this __________ day of ____________________ 202# by and between Soul Stone Kennels (Seller) and _______________________________ (Buyer) for the purpose of setting forth terms and conditions of Buyer's purchase of a purebred Miniature American Shepherd from Seller's litter whelped on DATE from AKC-registered sire SIRE and AKC-registered dam DAM.

Said puppy/dog is being sold to Buyer as a pet only with limited registration (or, without breeding rights). As such, Buyer agrees to have said puppy/dog spayed/neutered within its first year of life or within ninety (90) days of Buyer’s possession, whichever is later.

Should Buyer or Seller breach any portion of this agreement, the entire agreement will be considered null and void. Further, in the case of Buyer's breach of contract, Seller will have the right to repossess the puppy/dog without refund to Buyer and/or pursue legal remedy. Buyer and Seller agree that this Contract will be governed by the laws of the State of Georgia and may not be altered, modified, or rescinded unless agreed in writing by both Buyer and Seller.

PURCHASE AGREEMENT:

  1. Purchase Price: Seller agrees to sell and Buyer agrees to purchase a female/male puppy/dog from the litter described above for $__________________.

    • Seller requires a non-refundable deposit ($300 if reserved after litter whelping/$200 if reserved in advance of whelping) to hold selected puppy/dog.

    • Buyer's full payment for puppy/dog, including applicable transportation costs, etc., must be received by Seller and clear Seller's financial institution before Buyer may take possession of said puppy/dog.

  2. Pickup and Boarding: Buyer agrees to take possession of puppy/dog reserved prior to weaning no later than twelve (12) weeks of age (pickup deadline).

    • Buyer agrees to take possession of puppy/dog reserved post-weaning within fourteen (14) days of reservation date (pickup deadline).

    • If Buyer fails to retrieve the puppy/dog by the pickup deadline and no prior written arrangement has been made and agreed upon by Seller, Seller will charge Buyer a boarding fee of $40 per day to cover food, care, and housing. This fee will accrue daily for up to ten (10) days.

    • If the puppy/dog is not retrieved by the 10th day after the pickup deadline, Seller will consider the sale forfeited. At that time, Seller reserves the right to relist or rehome the puppy/dog without a refund to Buyer. Seller bears no further obligation to the Buyer.

  3. Cancellation After Payment: If Buyer cancels the purchase (changes their mind/opts out of taking possession of puppy/dog) after full or partial payment has been made to Seller but before taking possession of the puppy/dog, Seller will retain the non-refundable deposit and may deduct up to 50% of the full price balance (after the deposit) as liquidated damages for lost opportunity, care, and administrative costs.

    • At Seller’s discretion, and if cancellation is made in good faith, a portion of the forfeited payment (excluding the deposit and any care or advertising fees) may be credited toward a future litter.

    • Any credit offered by Seller at Seller’s discretion must be used within twelve (12) months of issuance unless otherwise agreed by Seller in writing.

  4. Health Guarantee:

    • Seller guarantees puppy/dog to be sound and free of diseases at time of transfer of said puppy/dog to Buyer for a period of three (3) days.

      • Seller will provide up-to-date health record information to Buyer at the time of transfer of puppy/dog verifying up-to-date vaccinations and deworming.

      • Seller is not responsible for stress-related outbreaks caused by the transfer of said puppy/dog to a new environment.

      • Once the puppy/dog has been released to the transportation entity or given directly to the Buyer or the Buyer's representative, said puppy/dog belongs to Buyer. At this time, Buyer is responsible for any newly emerging veterinary care or assistance that may be needed.

      • Seller will be available to Buyer for questions, concerns, and to assist with advice on any level to maintain as smooth and stress-free a transition as possible.

    • Buyer agrees to have said puppy/dog examined by a licensed small animal veterinarian within three (3) days of receipt of said puppy/dog.

      • If said puppy/dog is to be unfit for sale during this period and as evidenced by a signed, written report by a licensed small animal veterinarian, Buyer will have the option to return the puppy/dog for a full refund or replacement (as soon as a comparable puppy/dog of equal value becomes available). In this case, Seller has the right to request a second opinion from a neutral 3rd-party small animal veterinarian within a reasonable distance from Buyer’s home at Seller's expense.

      • To refund or replace will be the choice of Buyer.

        1. If Buyer decides to keep said puppy/dog, Buyer will assume all expenses involved with said puppy/dog in regard to past and future expense of care.

        2. If Buyer opts for a refund, the refund will be provided to Buyer by Seller after Seller is in receipt of said puppy/dog and has the opportunity to have said puppy/dog examined and health condition is confirmed by a licensed small animal veterinarian. Buyer is responsible for return transportation costs.

    • Buyer waives the protections under this section (Purchase Agreement, Section 4) if said puppy/dog is not examined by a licensed small animal veterinarian within the first seventy-two (72) hours after said puppy/dog is delivered to Buyer (i.e., delivered according to Buyer's instructions/Buyer takes possession).

  5. Genetic Health Warranty: Seller warrants that said puppy/dog is the progeny of breeding dogs examined and certified as approved for safe breeding. Seller will provide a refund (see "Note" below) if said puppy/dog is confirmed to have any of the following genetic defects:

    • Hip dysplasia (recognized by failure to receive a passing score on hips examination from the Orthopedic Foundation of Animals)

    • Failure to receive a passing reading from Canine Eye Registration Foundation

    • Epilepsy

    • Immune suppression disorder

    • Positive for Progressive Retinal Atrophy (PRA)

    • Positive for Collie Eye Anomaly (CEA)

Soul Stone Kennels Sample Sales Contract

Note: Genetic health problem/condition must be discovered within twelve (12) months of puppy/dog's whelping date or within six (6 months) of Buyer’s possession, whichever is later. Further, for Seller's warranty to be in effect, Buyer must notify Seller of health problem/condition within fourteen (14) days of discovery. Seller may request a second opinion from a neutral 3rd-party small animal veterinarian before executing warranty. If health problem/condition is confirmed, it will be Buyer's choice to keep said puppy/dog and assume all past and future medical expenses with a refund of 10% of the puppy/dog purchase price from Seller -OR- return said puppy/dog for a 50% refund of puppy/dog purchase price. If Buyer opts to return said puppy/dog, the refund will be provided to Buyer by Seller after Seller is in receipt of said puppy/dog and has the opportunity to have said puppy/dog examined and genetic defect is confirmed by a licensed small animal veterinarian. Buyer is responsible for return transportation costs if puppy/dog is found to be free of supposed health problem/condition.

  6. Ownership & Use: Seller warrants that the above described puppy/dog is a purebred Miniature American Shepherd and is able to be registered with the American Kennel Club (AKC).

    • Appropriate AKC registration paperwork will be provided to Buyer after Buyer's full payment for puppy/dog, including applicable transportation costs, etc., have been received by Seller and cleared Seller's financial institution.

    • Seller has not conveyed full registration (breeding rights) to Buyer.

      • By signing this agreement and taking possession of said puppy/dog, Buyer agrees not to breed said puppy/dog.

      • Further, Buyer agrees to have said puppy/dog spayed or neutered before it reaches twelve (12) months of age or within ninety (90) days of Buyer’s possession, whichever is later.

    • Seller requires that all puppies purchased from Seller will have their registered name with all registries start with: Soul Stone's (e.g., Soul Stone's Pretty in Pink).

    • Buyer certifies that Buyer is not acting as an agent in this purchase and that Buyer will not sell said puppy/dog to a pet store, guard dog business, or research facility.

    • Seller shall not be held responsible for acts of said puppy/dog once it is no longer in Seller's possession.

  7. Governing Law: Both parties agree that this contract represents a binding agreement between the Buyer and Seller.

    • Failure to adhere to this agreement will result in a breach of contract, in which case Seller and Buyer will be subject to enforcement of the relevant and governing statutes and laws of the State of Georgia.

    • If either party breaches any part of this agreement, the other party is released from any obligation under this agreement.

    • If either Buyer or Seller takes legal action regarding this contract, action will be initiated in the county of Seller’s residence, Forsyth County, Georgia.

    • Legal fees and court costs shall be the responsibility of the party found at fault.

The undersigned parties hereby agree to the terms of this Sales Contract as of the date of signature. Signed and agreed:
